Terms of Service

1. Agreement

By accessing or using Neureus AI ("Neureus", "the Service"), you agree to these Terms. If you are using Neureus on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Neureus provides an AI application backend API — including LLM routing, RAG pipelines, agents, workflows, and Composable Intelligence — accessible at app.neureus.ai. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

3. Your account

• You are responsible for all activity under your account.
• You must keep your API keys and session credentials secure.
• You may not share credentials or allow others to access your account on your behalf without using the team membership feature.
• You must be 18 years or older, or the age of majority in your jurisdiction.

4. Acceptable use

You may not use Neureus to:

• Generate content that violates applicable laws (fraud, CSAM, incitement to violence)
• Build applications intended to deceive users about AI involvement where disclosure is legally required
• Circumvent or attack Neureus infrastructure, including rate limits and tenant isolation boundaries
• Resell or sublicense access to the API without written permission
• Use the Service in violation of applicable AI regulations in your jurisdiction

We may suspend accounts that violate these terms without notice if the violation poses an immediate security or legal risk.

5. Your data

You retain all rights to data you submit to the Service — documents, prompts, vectors, and workflow definitions. You grant Neureus a limited license to process that data solely to provide the Service to you. We do not use your data to train models.

You are responsible for ensuring you have the rights to submit data to the Service, including any content processed under HIPAA, GDPR, or other regulated contexts.

6. Billing

• Paid plans are billed monthly in advance via Stripe.
• Neuron overages are billed at $0.001 per Neuron at the end of each billing cycle.
• Refunds are available within 7 days of a charge if you have not consumed more than 10% of your Neuron allocation.
• We may change pricing with 30 days' notice. Existing subscriptions are grandfathered for one billing cycle.
• Accounts with failed payments are downgraded to the free tier after 7 days.

7. Uptime and SLAs

The Service targets 99.9% monthly uptime. Enterprise plans include a formal SLA. We are not liable for downtime caused by third-party AI providers, infrastructure provider events, or force majeure.

8. Intellectual property

Neureus and its licensors own all rights to the Service, including the API, dashboard, SDK, documentation, and trademarks. Nothing in these Terms transfers ownership to you.

AI-generated outputs produced by the Service using your inputs are owned by you, subject to the terms of the underlying model providers (OpenAI, Anthropic, etc.).

9. Confidentiality

Each party agrees to protect the other's confidential information with reasonable care and not to disclose it to third parties. Your data and API keys are confidential. Our pricing, roadmap details shared under NDA, and system architecture are confidential.

10. Limitation of liability

To the maximum extent permitted by law, Neureus's total liability for any claims arising out of or related to these Terms is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for: indirect, incidental, special, or consequential damages; loss of profits or revenue; decisions made based on AI outputs; or third-party model provider outages.

11. Indemnification

You agree to indemnify Neureus from claims arising from your violation of these Terms, your use of the Service in a way that harms third parties, or your submission of data that infringes third-party rights.

12. Termination

You may delete your account at any time. We may terminate or suspend access for violations of these Terms. On termination, your data is deleted within 30 days. Sections 5, 8, 10, 11, and 13 survive termination.

13. Governing law

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved by binding arbitration under AAA Commercial Rules, with proceedings in English.

14. Changes

We may update these Terms. We will notify you of material changes by email at least 14 days in advance. Continued use after the effective date constitutes acceptance.
